About these terms\u003C\u002Fh2>\n\u003Cp>These terms are an agreement between you and Road-X ("Road-X", "we", "us"). They apply when you use the Road-X mobile app, the Road-X web apps (including the business portal) and this website (together, the "Service").\u003C\u002Fp>\n\u003Cp>When you create an account, you must accept these terms by ticking the box or tapping the button to agree. By using the Service you also accept them. If you do not accept them, do not use the Service.\u003C\u002Fp>\n\u003Cp>Read the \u003Ca href=\"\u002Fde\u002Fprivacy\">Privacy Policy\u003C\u002Fa> too. It explains how we handle your data.\u003C\u002Fp>\n\u003Ch2 id=\"section-2\">2. What Road-X is\u003C\u002Fh2>\n\u003Cp>Road-X is an online marketplace. It helps drivers find towing, repair and road-service companies, and helps those companies answer drivers.\u003C\u002Fp>\n\u003Cp>Road-X is not a towing company, a repair shop or a road-service provider. We do not tow, repair or service any vehicle. We do not employ the companies or their workers. We do not control how a company does its work.\u003C\u002Fp>\n\u003Cp>When a driver accepts an offer, the driver makes a direct agreement with that company. Road-X is not a party to that agreement. The company alone is responsible for its service, its price, its taxes, its licences and its insurance.\u003C\u002Fp>\n\u003Cp>A company must hold every licence, permit and insurance that the law requires for the services it offers (for example a towing licence in a state that requires one). Road-X may ask a company to show them, and may suspend a company that cannot.\u003C\u002Fp>\n\u003Cp>We do not promise that a company is qualified, licensed, insured or honest. We do not check every company. We do not promise that any company will answer a request.\u003C\u002Fp>\n\u003Ch2 id=\"section-3\">3. Accounts and roles\u003C\u002Fh2>\n\u003Cp>There are three kinds of user account.\u003C\u002Fp>\n\u003Ctable>\n\u003Cthead>\n\u003Ctr>\n\u003Cth>Role\u003C\u002Fth>\n\u003Cth>What this user does\u003C\u002Fth>\n\u003C\u002Ftr>\n\u003C\u002Fthead>\n\u003Ctbody>\n\u003Ctr>\n\u003Ctd>Client\u003C\u002Ftd>\n\u003Ctd>A driver. Searches for a service, creates a request, shares a location, chats, and picks an offer. The client uses Road-X for free.\u003C\u002Ftd>\n\u003C\u002Ftr>\n\u003Ctr>\n\u003Ctd>Company\u003C\u002Ftd>\n\u003Ctd>A service company. The company owner sees requests in range, sends offers, chats with clients, manages billing and manages staff. A company manager has the same queue and client-communication rights, but cannot rename or delete the company, manage billing, or add or remove other managers.\u003C\u002Ftd>\n\u003C\u002Ftr>\n\u003Ctr>\n\u003Ctd>Worker\u003C\u002Ftd>\n\u003Ctd>A person who works for a company. A worker sees only the orders the company gives to that worker.\u003C\u002Ftd>\n\u003C\u002Ftr>\n\u003C\u002Ftbody>\n\u003C\u002Ftable>\n\u003Cp>Road-X staff have separate administrator accounts. They use them to run the Service.\u003C\u002Fp>\n\u003Cp>You must:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>give correct information and keep it up to date;\u003C\u002Fli>\n\u003Cli>keep your password and sign-in codes secret;\u003C\u002Fli>\n\u003Cli>tell us at once if someone else uses your account.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>You are responsible for what happens under your account.\u003C\u002Fp>\n\u003Cp>A company owner confirms that they may act for the company and bind it to these terms. A company is responsible for its managers and workers, and for what they do in the Service.\u003C\u002Fp>\n\u003Cp>You must be at least 18 years old to use the Service.\u003C\u002Fp>\n\u003Ch2 id=\"section-4\">4. Requests, offers and chat\u003C\u002Fh2>\n\u003Ch3>Requests\u003C\u002Fh3>\n\u003Cp>A client can create a request. A request has a service type, a description, photos, the client's vehicle and a location. A client can have one open request at a time.\u003C\u002Fp>\n\u003Cp>All companies inside the radius that the client sets can see an open request at the same time. They can answer in parallel.\u003C\u002Fp>\n\u003Cp>The client may close a request. Road-X may also close a request that the client does not confirm is still active. When a request closes, companies stop seeing it.\u003C\u002Fp>\n\u003Ch3>Offers\u003C\u002Fh3>\n\u003Cp>A company can answer a request with an offer. An offer states an arrival time and a price or rate. A company may also decline or postpone a request. The client does not see that.\u003C\u002Fp>\n\u003Cp>The client can accept one offer. After the client accepts, the other companies no longer see the request. The client then sees the name and phone number of the chosen company.\u003C\u002Fp>\n\u003Cp>An offer is a proposal by the company. Road-X does not set or guarantee prices, arrival times or availability. Check the final price with the company.\u003C\u002Fp>\n\u003Ch3>Completion\u003C\u002Fh3>\n\u003Cp>After the work, the company marks the job as completed. The client then confirms it. If the client does not respond within 24 hours, we confirm it automatically.\u003C\u002Fp>\n\u003Ch3>Chat and machine translation\u003C\u002Fh3>\n\u003Cp>Client and company can chat about a request. Chat is part of the request.\u003C\u002Fp>\n\u003Cp>Road-X translates chat messages by machine, so each person reads in their own language. Machine translation can be wrong. It can change the meaning of a word, a number, a price or an address. Do not rely on a translation for safety, price, location or other important details. Check them in another way. We keep the original text of each message.\u003C\u002Fp>\n\u003Cp>Road-X is not responsible for what is lost in translation.\u003C\u002Fp>\n\u003Cp>You may not use chat to harass anyone, to send spam, or to take a client away from the Service for a fraudulent purpose. A company may use a client's contact details and other data from a request only for that request.\u003C\u002Fp>\n\u003Ch2 id=\"section-5\">5. Ratings and reviews\u003C\u002Fh2>\n\u003Cp>After a completed job, a client may rate the company with 1 to 5 stars and may write a review. This is optional. Only the client rates the company.\u003C\u002Fp>\n\u003Cp>A review must be true, must come from the client's own experience, and must be about the service. A review must not contain hate, threats, private data of other people or false statements. We may remove content that breaks these terms.\u003C\u002Fp>\n\u003Cp>A company may not write reviews about itself, pay or reward anyone for a review, or pressure a client to change or remove a review.\u003C\u002Fp>\n\u003Cp>Nothing in these terms stops you from writing an honest review about a company or about Road-X.\u003C\u002Fp>\n\u003Cp>If you think a review breaks these terms, write to us at the address in section 16 and tell us which review and why. We may remove it or leave it. We do not edit reviews.\u003C\u002Fp>\n\u003Cp>A company's average rating and review count may be shown to other users.\u003C\u002Fp>\n\u003Cp>Ratings and reviews are the opinions of the users who write them. Road-X does not check them and does not endorse them.\u003C\u002Fp>\n\u003Ch2 id=\"section-6\">6. Company plans and payments\u003C\u002Fh2>\n\u003Cp>Clients never pay Road-X.\u003C\u002Fp>\n\u003Cp>A company can use Road-X on a plan:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>\u003Cstrong>Free:\u003C\u002Fstrong> a limited number of offers each calendar month.\u003C\u002Fli>\n\u003Cli>\u003Cstrong>Premium:\u003C\u002Fstrong> unlimited offers and payment requests for jobs, for a monthly fee.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>The limits and prices are on the company billing page and can change. Stripe processes plan payments on the web. Details about prices, billing, renewal, cancellation, refunds and price changes are in the \u003Ca href=\"\u002Fde\u002Fpayment-terms\">Payment Terms\u003C\u002Fa>. The Payment Terms are part of these terms for companies.\u003C\u002Fp>\n\u003Cp>Payment for a job is between the client and the company. Road-X does not set the job price and is not the company's agent for payment.\u003C\u002Fp>\n\u003Cp>A Premium company can ask a client to pay for a job through the Service. The client pays with Stripe, directly to the company's own Stripe account. The company is the seller and the merchant of record. Road-X does not process, hold or mediate the payment, and takes no fee on it. Road-X is not a bank or a payment institution. The company accepts Stripe's Connected Account Agreement when it connects Stripe, and Stripe decides if it approves the company. The company is responsible for its own taxes, refunds, chargebacks and disputes. Refunds, disputes and chargebacks are between the client and the company. Stripe's own terms apply to the payment. In the first version, job payments are in US dollars and for companies with a Stripe account in the United States only. See the \u003Ca href=\"\u002Fde\u002Fpayment-terms\">Payment Terms\u003C\u002Fa>.\u003C\u002Fp>\n\u003Cp>A job can also be marked as paid in the Service. For a job without a payment request, this is only a record. Road-X does not check that money moved.\u003C\u002Fp>\n\u003Ch2 id=\"section-7\">7. Your account and deleting it\u003C\u002Fh2>\n\u003Cp>You can ask to delete your account in the app. We mark the account and (for a company owner) the company for deletion. We delete them for good after 30 days.\u003C\u002Fp>\n\u003Cp>In these 30 days you can sign in and cancel the deletion. After that, we cannot restore the account.\u003C\u002Fp>\n\u003Cp>When a company owner deletes their account, the company is deleted with it.\u003C\u002Fp>\n\u003Cp>You may stop using the Service at any time. See the \u003Ca href=\"\u002Fde\u002Fprivacy\">Privacy Policy\u003C\u002Fa> (sections 6 and 8) for what happens to your data, including requests, chat and ratings that involve other users.\u003C\u002Fp>\n\u003Cp>We may suspend or close your account at once, without notice, if you commit fraud, if you put people at risk, or if the law requires it. In other cases, if you break these terms or if we stop the Service, we will tell you before we close it, when we can. If we close the account of a company owner, the managers and workers of that company lose access to the company.\u003C\u002Fp>\n\u003Ch2 id=\"section-8\">8. Prohibited use\u003C\u002Fh2>\n\u003Cp>You may not:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>break the law, or use the Service for an unlawful purpose;\u003C\u002Fli>\n\u003Cli>give false information, or pretend to be another person or company;\u003C\u002Fli>\n\u003Cli>create fake requests, fake offers or fake reviews;\u003C\u002Fli>\n\u003Cli>harass, threaten or abuse other users or our staff;\u003C\u002Fli>\n\u003Cli>share another person's private data without a right to do so;\u003C\u002Fli>\n\u003Cli>use a client's data from a request for anything other than that request, such as marketing;\u003C\u002Fli>\n\u003Cli>send spam or advertising that users did not ask for;\u003C\u002Fli>\n\u003Cli>try to get around the Service to avoid the plan limits or fees that apply to a company;\u003C\u002Fli>\n\u003Cli>copy, scrape or resell data from the Service, or use it to build a competing database;\u003C\u002Fli>\n\u003Cli>upload malware, or try to break, overload or reverse engineer the Service;\u003C\u002Fli>\n\u003Cli>access an account or data that is not yours;\u003C\u002Fli>\n\u003Cli>use the Service in a way that puts people in danger.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>We may remove content, limit features, or close accounts that break these rules.\u003C\u002Fp>\n\u003Ch2 id=\"section-9\">9. Safety and emergencies\u003C\u002Fh2>\n\u003Cp>Road-X is not an emergency service. In an emergency, call your local emergency number first (911 in the United States).\u003C\u002Fp>\n\u003Cp>Take care in a roadside situation. Do not use the app while driving. Use only a tow truck or a worker that you can identify. Check the company name and the vehicle before you let anyone move your vehicle.\u003C\u002Fp>\n\u003Ch2 id=\"section-10\">10. Our content and your content\u003C\u002Fh2>\n\u003Cp>Road-X owns the Service, its name, logo, design and software. We give you a limited, personal, revocable licence to use the Service as these terms allow.\u003C\u002Fp>\n\u003Cp>You keep ownership of the content you add, such as request text, photos, messages and reviews. You give Road-X a worldwide, non-exclusive licence to host, copy, translate (including machine translation by our service providers) and show that content, so we can run the Service. For a request, this includes showing it to the companies and the other users who may see it. When you delete your account, this licence ends, except for copies that other users already received and records we must keep (see the \u003Ca href=\"\u002Fde\u002Fprivacy\">Privacy Policy\u003C\u002Fa>).\u003C\u002Fp>\n\u003Cp>You promise that you have the right to add your content.\u003C\u002Fp>\n\u003Cp>Maps are provided with Google Maps. Google's terms apply to their use.\u003C\u002Fp>\n\u003Ch2 id=\"section-11\">11. Disclaimers\u003C\u002Fh2>\n\u003Cp>The Service is provided "as is" and "as available". We do not promise that it will be free of errors, always on, or always accurate. We do not promise that a request will get an offer or that you will find a company. We make no promise about the quality, safety, price or timing of any company's work.\u003C\u002Fp>\n\u003Cp>Some places do not allow some of these limits, for example some US states do not allow the exclusion of implied warranties. In those places, the exclusion applies only as far as the law allows, and the law may give you rights that these terms do not remove.\u003C\u002Fp>\n\u003Ch2 id=\"section-12\">12. Limit of liability\u003C\u002Fh2>\n\u003Cp>To the most that the law allows:\u003C\u002Fp>\n\u003Cul>\n\u003Cli>Road-X is not liable for the acts or failures of any company or worker, or for any damage to a vehicle, any injury, any delay, or any dispute between a client and a company.\u003C\u002Fli>\n\u003Cli>Road-X is not liable for indirect or consequential losses, lost profit, lost data or lost business.\u003C\u002Fli>\n\u003Cli>Road-X's total liability to you for all claims is limited to the greater of (a) the amount you paid Road-X in the 12 months before the claim, or (b) 100 US dollars.\u003C\u002Fli>\n\u003C\u002Ful>\n\u003Cp>A client uses the Service for free. For a client, limit (b) applies.\u003C\u002Fp>\n\u003Cp>Nothing in these terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud or wilful misconduct, in places where the law says so.\u003C\u002Fp>\n\u003Cp>A company is responsible to Road-X and to clients for its own service. A company will cover Road-X for claims that come from the company's service, its workers or its breach of these terms.\u003C\u002Fp>\n\u003Ch2 id=\"section-13\">13. Disputes and governing law\u003C\u002Fh2>\n\u003Cp>Please contact us first at the address in section 16. We will try to solve the problem.\u003C\u002Fp>\n\u003Cp>These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without its conflict-of-law rules. Disputes go to the state or federal courts located in Pennsylvania. This does not take away the rights that the consumer law of your home state gives you.\u003C\u002Fp>\n\u003Ch2 id=\"section-14\">14. Changes to the Service and to these terms\u003C\u002Fh2>\n\u003Cp>We may change the Service. We may change these terms. We will post the new version here with a new date. For a big change we will tell you in the app or by email at least 30 days before it starts, where we can. We may give less notice when a change is needed to follow the law or for safety.\u003C\u002Fp>\n\u003Cp>If you keep using the Service after the change starts, you accept the new terms. If you do not accept them, stop using the Service and delete your account.\u003C\u002Fp>\n\u003Ch2 id=\"section-15\">15. General\u003C\u002Fh2>\n\u003Cul>\n\u003Cli>If a part of these terms is not valid, the rest stays in force.\u003C\u002Fli>\n\u003Cli>If we do not enforce a right, we do not give it up.\u003C\u002Fli>\n\u003Cli>You may not transfer your rights under these terms without our consent. We may transfer ours as part of a sale or reorganisation.\u003C\u002Fli>\n\u003Cli>These terms, the Privacy Policy and the Payment Terms are the whole agreement between you and Road-X for the Service.\u003C\u002Fli>\n\u003Cli>The parts of these terms that by their nature should continue (for example liability, disputes and governing law) stay in force after your account ends.\u003C\u002Fli>\n\u003Cli>The Service may be offered in several languages.
